Terms of Service

These Terms of Service ("Terms") govern your use of Phronesis Executive Intelligence ("Phronesis" or "the Service"), operated by Aeternum Systems LLC ("we," "our," or "the Company"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Phronesis is an executive intelligence workspace that provides AI powered document creation, analysis, strategic guidance, and project management tools for professional use. The Service utilizes third party AI models to process requests and generate content.

2. Account Registration and Access

Access to Phronesis is by invitation or application only. We reserve the right to approve or deny access at our sole discretion. You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and complete information when creating your account. You must be at least 18 years of age to use the Service.

3. Subscription and Payment

The Service is offered as a monthly subscription at the current rate of $279 per month. Payment is processed through Stripe, Inc. Your subscription will automatically renew each month unless cancelled. You may cancel your subscription at any time through the Service or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial months of service. We reserve the right to change pricing with 30 days written notice to active subscribers.

4. Acceptable Use

You agree to use the Service only for lawful professional purposes. You may not use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. You may not attempt to circumvent usage policies, security measures, or access controls. You may not use the Service to develop competing products or services. You may not share your account credentials or allow unauthorized access to your account. You may not use automated systems to access the Service beyond normal professional use.

5. Intellectual Property

You retain ownership of all content you create using the Service, including documents, analyses, and other outputs generated through your use of the AI capabilities. The Phronesis platform, brand, interface, and underlying technology are the intellectual property of Aeternum Systems LLC. You may not reproduce, distribute, or create derivative works from the Service itself.

6. AI Generated Content Disclaimer

Content generated by Phronesis is produced using artificial intelligence and should be reviewed by qualified professionals before use in any legal, financial, medical, or other consequential context. Aeternum Systems LLC does not guarantee the accuracy, completeness, or suitability of AI generated content for any particular purpose. You are solely responsible for reviewing, verifying, and approving all content generated through the Service before use. The Service does not constitute legal advice, financial advice, medical advice, or any other form of professional counsel.

7. Service Availability

We strive to maintain continuous Service availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by law, Aeternum Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.

9. Indemnification

You agree to indemnify and hold harmless Aeternum Systems LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party rights.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or the Fair Use Policy. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow for data export, after which it will be permanently deleted.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the State of Ohio.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
